Ed’s practice covers private mergers and acquisitions, family business and private equity.

Ed has expertise in the following areas:

  • mergers and acquisitions - including acting for buyers or sellers in a wide range of share sales, business sales and asset sales;
  • due diligence - including purchaser due diligence, vendor due diligence and prospectus due diligence;
  • family business - including acting for family companies acquiring competitors, acting for owners of family businesses looking to retire and advising on shareholder agreements and corporate governance issues;
  • private equity and venture capital transactions - including acting for management groups (in management buyouts and management buy-ins) or owners in private equity backed acquisitions and roll-ups;
  • capital raising - including listing on the AIM market in London;
  • a wide range of corporate and commercial advice for private and public companies; and
  • preparation and negotiation of a wide variety of commercial agreements.

Experience

Ed’s clients include private companies and large family businesses. Recent matters include:

  • acting for a family company in the ownership succession from the founder to two sons and then the next generation;
  • acting for an internationally known family run footwear business on the local acquisition of a licensee;
  • acting for an internationally known family business based in Scotland in the local acquisition of an Australian manufacturing facility;
  • acting for management in a secondary buyout of a well known comfort footwear business;
  • acting for  large local multi-generational family businesses in the acquisition of competitors as part of their growth strategy; 
  • acting for a listed public company based in Sweden in the acquisition of a local family owned and operated business with unique intellectual property;  
  • acting for owners selling multi-generational family businesses to fund retirement or for strategic reasons;
  • acting for management groups in private equity backed acquisitions of private and family businesses;
  • acting for the owner of a successful medical practice selling into an industry wide roll-up prior to listing;
  • acting for investors or investees in venture capital transactions;
  • acting for an unlisted Australian public company seeking admission to the AIM market in London; and
  • providing listing rule advice to a high profile Australian listed public company.

Qualifications

Ed has a Bachelor of Laws and a Bachelor of Arts (Hons) from the University of Melbourne. Ed joined Hall & Wilcox in 2002 as a lawyer and was promoted to senior associate later that year. He became a partner in 2009.

Ed is a member of the Australian Institute of Company Directors, the Law Institute of Victoria and its Commercial Law and Young Lawyers sections. He is a member of the Victorian committee of Family Business Australia (FBA), Chairman of the FBA advisor executive committee, and has been a trustee of the Committee for Economic Development of Australia. Ed is also a non-executive director in a family owned manufacturing company and is on the family advisory board behind a national retail chain.
