Current Practice

Conrad’s current practice includes:

  • public mergers and acquisitions,
  • private acquisitions and sales of businesses restructures;
  • rights offers and other public and private capital raisings;
  • joint ventures; 
  • shareholders’ and unitholders’ agreements;
  • providing advice on Corporations Act compliance;
  • providing ASX listed company advice, including in respect of continuous disclosure obligations and corporate governance; 
  • conduct and co-ordination of large due diligence projects; and 
  • a wide variety of other contractual arrangements.

Experience

Conrad has advised on a number of matters and transactions, including:

  • acting for an ASX/JSE dual-listed mining company in relation to rights issues in Australia and South Africa;
  • acting for a prime brokerage firm in its proposed ASX back-door listing;
  • acting for the Dyson Group of Companies in relation to the acquisition of two separate transport businesses;
  • acting for Baxters Foods Australia (and its UK parent company) in its acquisition of food manufacturing businesses;
  • advising Cytopia Limited, a formerly ASX listed biotechnology company, on its proposal to remove all directors of Progen Pharmaceuticals Limited and appoint three new directors pursuant to a member requisitioned general meeting;
  • working closely with in-house general counsel for a major agricultural wholesale and retail company in its acquisition of an
  • agricultural chemicals manufacturing business;
  • acting for Ascend Group Limited in its listing on the NSX;
  • advising a large national trade and industrial tool seller in relation to its recent corporate restructure to move from a cooperative to a franchise model;
  • reviewing and advising on the terms of resources and shipping contracts for an Australian mining company; and
  • acting for public mining companies in the establishment of bi-lateral and tripartite joint ventures and farm-in arrangements.

Qualifications

Conrad has a Bachelor of Laws and a Bachelor of Arts from Monash University. He became a senior associate in January 2011.

Conrad is a member of the Law Institute of Victoria.

Prior to commencing at Hall & Wilcox, Conrad was a lawyer with a boutique Melbourne commercial firm and worked with a number of community legal sector organisations.​
