Current Practice

Andrew’s practice focuses on:

  • direct taxes;
  • international structuring and taxation;
  • business transactions;
  • capital gains tax;
  • income tax consolidation;
  • employee share schemes;
  • taxation disputes (including pre-audit, audit and litigation);
  • corporate restructuring; and
  • the taxation of trusts.

Experience

Andrew’s clients include private and public companies, small and medium enterprises, high-net-worth individuals and family groups.  His recent experience includes:

  • advising on the capital gains tax consequences of an equity issue to management and advising management about structuring an equity buy-in in conjunction with a private equity firm;
  • advising on the sale of substantial property interests and the subsequent forgiveness of loans;
  • acting for clients involved in the Australian Taxation Office’s Project Wickenby investigation including advising on the international tax aspects of the client’s structure;
  • preparing objections to assessments and private ruling applications related to:
    • the sale of pre-CGT shares and CGT event K6;
    • employee share scheme rules;
    • the application of rollovers to pre-CGT goodwill and the merger of a post-CGT business;
    • entitlement to the Investment Allowance; and
    • the treatment of gains made by a Jersey trust distributed to Australian residents;
  • preparing appeal statements and court documents for tax appeals in the Federal Court and statement of facts, issues and contentions and tribunal documents for tax matters in the Administrative Appeals Tribunal;
  • drafting the tax-related provisions of Information Memorandums for managed funds and advising generally about the taxation of their investments and tax treatment for non-resident investors;
  • reviewing all the trust deeds of a large family group and drafting pro-forma distribution minutes tailored for each deed;
  • reviewing the ownership structure of an SME business and advising on roll-overs and tax consolidation to simplify the structure in preparation for sale; and 
  • preparing vendor and purchaser due diligence reports for ASX-listed companies.

Qualifications

Andrew has a Bachelor of Laws and a Bachelor of Commerce from Monash University and is currently undertaking a Master of Laws at the University of Melbourne.

Prior to joining Hall & Wilcox, Andrew was a senior taxation consultant at chartered accounting firm Ernst & Young.

Andrew is a member of the Law Institute of Victoria.
