Overview

Our team acts or have acted for numerous property fund managers and industry participants in relation to direct property schemes and syndicates, property securities funds, real estate private equity funds and wholesale and retail development funds.  Our experience and expertise includes:

  • fund establishment and preparation of constituent documents;
  • fundraising and offer document preparation;
  • offer document due diligence and verification;
  • regulatory advice - including Corporations Act, ASX Listing Rules and APRA regulation;
  • compliance advice;
  • real estate acquisition and divestment;
  • joint ventures;
  • tax (direct and indirect) structuring and compliance;
  • debt financing and review; and
  • investment management agreements preparation and review.

Experience

Examples of our experience include:

  • acted for APN Property Group Ltd in the IPO and listing on the ASX of the APN European Retail Trust (AEZ) and the Trust’s two subsequent non-renounceable accelerated rights offers, real estate acquisition and divestment, debt financing, secondary fundraisings and ongoing compliance.  APN European Retail Trust is an ASX-listed collective investment vehicle that specialises in the acquisition and management of European retail properties;
  • acted for APN Property Group in the establishment of numerous other unlisted wholesale and retail property funds and in relation to initial fundraisings, asset and ownership restructuring, real estate acquisition and divestment, leasing and ongoing compliance;
  • established the Grocon Property Trust Australia (owner of the AXA Docklands headquarters). We acted for the responsible entity in the establishment of and capital raising for Grocon Property Trust Australia, and continue to act for that fund in respect of various matters and subsequent compliance advice;
  • advised a significant developer on the establishment of a wholesale property development fund including the preparation of a trust deed and information memorandum;
  • acted for Hamton Development Fund in relation to establishment of a property trust and initial capital raising;
  • acted for Viento Property Group Limited in relation to rolling up a number of its retail property syndicates into continuous offer fund, reviewing disclosure documents, providing tax (direct and indirect) and general compliance advice;
  • established a wholesale syndicates for Three Pillars Syndicate No. 1 and The Rye Property Syndicate;
  • negotiated the terms of a property management agreement on behalf of a property trust with significant assets in multiple jurisdictions;
  • reviewed and negotiated refinancing of property funds; and
  • advised on liquidity issues in relation to a number of direct property funds.
