Current practice
Adrian's current practice focuses on general commercial transactions and arrangements, including mergers and acquisitions, business planning and succession, management arrangements and company law.
He has advised on business and asset sales, corporate restructures, MBOs, directors duties, Corporations Act compliance, supply and distribution arrangements, shareholder agreements, joint ventures and partnerships, asset protection, franchising and licensing and protection and commercialisation of intellectual property.
Clients and recent experience
Adrian has spent time as a secondee to AXA Australia and has specialist knowledge and experience in advising clients in the financial services industries on business sales, client list transfers and company restructures.
Adrian has been involved in a broad selection of transactions, including:

acting for Strategic Financial in a merger (cash plus options) with listed financial advisor group, Plan B;

negotiating commercial terms on behalf of Franklyn Scholar in its capital raising and four-tranche acquisition of a series of RTOs;

assisting the management buy-out team during the acquisition of the Natra industrial and commercial radiator business;
-
acting for the vendor in the sale of Laura Ashley Australia;
-
negotiating the terms of a master property management agreement between AXA Australia and DEXUS;
-
advising ipac on a series of significant equity partner (business succession) transactions throughout Australia;
-
acting for the purchaser of the Mogul Ski World travel agency business;
-
preparing a share sale agreement (and related shareholders agreement) for an agricultural company involving negotiations between four owners on three continents;

acting for the underwriter in the listing of a uranium mining venture; and
-
acting for the vendor in the sale of a significant fitness business portfolio to Goodlife Health Clubs.
Adrian presents regularly to clients and legal professionals on a range of commercial issues including sale of business transactions and shareholder agreements.
Qualifications and personal affiliations
Adrian has a Bachelor of Arts and a Bachelor of Laws (Hons) from the Australian National University. He became senior associate in 2006.
Adrian sits on the business law committee of the Law Institute of Victoria and is a member of the commercial section at the Institute. He is also a member of Australian Corporate Lawyers Association, the Association of Financial Advisors GenXt Committee and the Australian Venture Capital Association Limited (AVCAL).
